<div class="article-date"> Sep 07, 2026 <span style="margin: 0 8px; color: rgba(255,255,255,0.3);">|</span> <span style="color: rgba(255,255,255,0.4);">Hawadet Studio</span> </div> </div></div><div class="article-content-wrapper"><div class="blog-content">When choosing a studio under a confidentiality agreement it is not enough to ask “is its quality good?”; you ask “does it protect my relationship with my client?”. So before signing you check four clauses written into the contract itself: the studio does not contact your end client, the rights to show the work in its portfolio, ownership of the final file and the source files and when it passes, and the revision rounds and what happens when your approval is late.

An agency sells its client the idea that the agency delivers the work. If it leaks that execution happens elsewhere, or the studio contacts the client directly, or the work appears in the studio's portfolio under the client's name, the agency's relationship with its client is damaged. This guide is not legal advice; it is a list of practical questions, and your lawyer should review the final wording. For choosing a studio in general read [five questions for choosing an animation studio](/en/blogs/key-factors-choosing-animation-production-company), and for the subcontracting model [a white-label animation studio for agencies](/en/blogs/white-label-animation-studio-for-marketing-agencies-the-complete-guide-2026).

<div style="background: #f8f9fa; border-left: 4px solid #7c3aed; padding: 25px; border-radius: 12px; margin: 35px 0; box-shadow: 0 4px 15px rgba(0,0,0,0.05); color: #1a202c;">### 📊 What to check before signing

- <span style="font-size: 1.4rem; line-height: 1.2;">🔒</span> <span style="font-size: 1.1rem; line-height: 1.6; color: #4a5568;">**No contact:** An explicit clause barring the studio from contacting your end client or naming them to anyone.</span>
- <span style="font-size: 1.4rem; line-height: 1.2;">🖼️</span> <span style="font-size: 1.1rem; line-height: 1.6; color: #4a5568;">**Portfolio rights:** May the studio show the work later? State it outright: written permission or a complete ban.</span>
- <span style="font-size: 1.4rem; line-height: 1.2;">📁</span> <span style="font-size: 1.1rem; line-height: 1.6; color: #4a5568;">**Ownership of the result:** The final video and the source files: whose, and when the rights pass.</span>
- <span style="font-size: 1.4rem; line-height: 1.2;">📅</span> <span style="font-size: 1.1rem; line-height: 1.6; color: #4a5568;">**Schedule and revisions:** The number of revision rounds at each stage, and what happens when your agency's approval is late.</span>

</div>Why is confidentiality part of an agency's business model?
----------------------------------------------------------

The first challenge is confidentiality: an agency needs a studio that is disciplined by contract, not only skilled. The second is steady quality: an agency needs to give its client the same level in every project, not gamble on a different execution each time. That calls for a studio with a clear production line and an organised team, not different people assembled for each task.

<div class="blog-table-wrap"><table class="table table-bordered"><thead><tr><th>Item</th><th>What you ask for</th><th>A sign of weakness</th></tr></thead><tbody><tr><td>A non-disclosure agreement</td><td>Signed before any file or text is received</td><td>“We begin and sign later”</td></tr><tr><td>No contact with the client</td><td>An explicit clause saying who and how</td><td>General wording about “confidentiality”</td></tr><tr><td>The portfolio and published work</td><td>Written permission for each work or a full ban</td><td>The clause is not mentioned at all</td></tr><tr><td>The source files</td><td>Who owns them, when, and in what format</td><td>Only the final result is delivered, with nothing set</td></tr><tr><td>Who works on your project</td><td>Names or roles, and whether subcontractors are allowed</td><td>It does not say who carries it out</td></tr><tr><td>Keeping the materials</td><td>How they are stored and deleted after the project</td><td>No stated policy</td></tr><tr><td>Revisions</td><td>Set rounds per stage and a definition of rework</td><td>Open, undefined edits</td></tr></tbody></table>

</div>What do you ask, and how do you test it?
----------------------------------------

1. **Ask for a draft NDA first:** before discussing details, and review it with someone who understands the wording. A serious studio answers the clauses seriously and does not dodge them.
2. **Ask how your materials are handled:** are they shared with any outside tools? Is each tool's data policy checked? How are the materials deleted after the project?
3. **Ask who actually carries it out:** the studio's own team or contractors? And under what confidentiality obligations?
4. **Ask for a test scene at a similar scope:** it tests quality and contractual discipline together before any full commitment.
5. **Ask for a written scope of work:** with the scope, the stages, the revision rounds and what is delivered.
6. **Know the project management system:** how will your agency follow the stages? Written staged approvals protect both sides from a later dispute over scope.

To learn what sets a quote's price and how to compare two quotes read [animation prices in Egypt](/en/blogs/motion-graphics-video-prices-2026-comprehensive-guide), and for questions about the production line [storyboard and animatic](/en/blogs/animatics-storyboard-studio).

What remains after the project ends?
------------------------------------

- Are your client's materials deleted from the studio's systems, when, and is confirmation written?
- Do you keep a copy of the source files outside the studio?
- Does the confidentiality obligation continue after the contract ends, and for how long?
- Does the obligation bind those who worked on the project when they leave the studio?
- What happens if the work appears published before its date, and who bears responsibility?

These always remain questions about written wording, so do not accept a verbal answer on a clause that stands for a whole relationship with a client. And have your lawyer review the final text.

Common mistakes when contracting under confidentiality
------------------------------------------------------

- **Sending the client's materials before the agreement is signed:** so you lose your strongest bargaining card.
- **Settling for a verbal promise not to show the work:** with no written clause.
- **Overlooking the source files:** so you cannot continue with another party if you need to.
- **Not asking who carries it out:** so a third party may come in that never committed to confidentiality.
- **Revisions with no limit:** so every file turns into a new discussion.
- **Ignoring the data-retention policy:** of any tool the materials are uploaded to.

Suppose an agency is carrying out a campaign for a client in a sensitive sector. Before any file it asks for a draft agreement, asks the studio who will work on the project and how materials are deleted, writes a written-permission clause for any showing in the portfolio, and asks for a test scene using non-confidential material. This is a hypothetical example to show the method, not something that happened.

How do we deal with this?
-------------------------

Hawadet Studio is an early-stage Arabic animation studio, and most of what we make is original work of our own. We can work with a partner on a joint project under a written agreement that says who owns what, and what concerns confidentiality and showing the work is settled in that agreement. We do not sell isolated tasks such as scriptwriting alone or design alone.

Our path is successive stages reviewed before delivery under a flexible revision policy within a scope agreed in advance. And we learned that rushing the foundation to save time was the biggest mistake that forced us to redo work, so we advise you to write clear stages into the contract. Our work is on the [projects page](/en/projects).

Frequently Asked Questions
--------------------------

### What are the basic clauses for ensuring confidentiality?

A clause barring contact with the end client, a data-protection clause and how materials are kept, a portfolio clause (written permission or a ban), and a statement of ownership of the final file and the source files. Make sure these clauses are written in the contract itself and not in side messages.

### How do I choose a studio that fits my agency's budget?

Ask every studio for a written scope of work against the same scope, and compare on quality, clarity of clauses and keeping to the schedule, not price alone. A very low price may mean an execution risk or a lack of contractual commitment.

### How do I make sure the studio will carry out my vision?

Ask for a test scene, then written staged approvals on the script and storyboards before animation. This reduces surprises at final delivery.
